Welcome to AyaSilky! The terms "we", "us" and "our" refer to AyaSilky. AyaSilky operates this boutique online store and website, including all related information, content, features, tools, products, and services in order to provide you, the customer, with a curated luxury shopping experience (the "Services"). AyaSilky is powered by Shopify, which enables us to provide the digital infrastructure for these Services to you. 

The below terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms") describe your rights and responsibilities when you use the Services. 

Please read these Terms of Service carefully, as they include critical information about your legal rights and cover areas such as warranty disclaimers, strict limitations of liability, and binding dispute resolution. By visiting, interacting with, or purchasing from our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms of Service or Privacy Policy, you are strictly prohibited from using or accessing our Services. 

SECTION 1 - ACCESS AND ACCOUNT 
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state, province, or country of residence, and you have given us your express consent to allow any of your minor dependents to use the Services under your financial supervision. 

To complete purchases within our store, you will be required to provide current, accurate, and complete identification, email address, billing information, payment credentials, and continental shipping coordinates. You represent and warrant that you hold all lawful rights necessary to deploy this information. 

You remain solely and exclusively responsible for maintaining the security of your account credentials and for all underlying account activities. You may not transfer, sell, assign, or license your account to any other individual or commercial entity. 

SECTION 2 - OUR PRODUCTS & DELICATE WEAVE DISCLAIMER
We make every reasonable effort to render an accurate, high-definition sensory representation of our luxury products within our online digital store. However, please note that physical color variations, fabric sheen, and textile appearance may slightly diverge on your physical device screen due to distinct configuration matrixes, screen types, and lighting variations. 

CRITICAL DELICATE APPAREL DISCLAIMER: AyaSilky specializes in ultra-fine, ultra-high-needle-density, low-denier wearable art. By purchasing, you explicitly acknowledge and agree that fine hosiery is inherently delicate and susceptible to structural damage if handled improperly. We do not warrant that the product will withstand physical abrasions, sharp objects, unfiled fingernails, jewelry friction, or incorrect personal donning techniques. Cosmetic runs, snags, rips, or tears occurring post-handling or after the expiration of our 7-Days Inspection Window (as defined in our Return Policy) are legally classified as standard wear-and-tear and do not constitute manufacturing defects.

All product descriptions and retail pricing matrices are subject to real-time evolution at our sole discretion without prior notice. We reserve the ultimate right to discontinue any product line or adjust volume availability on a case-by-case basis.

SECTION 3 - ORDERS & ANTI-COMMERCIAL ARBITRAGE
When you submit an order on ayasilky.com, you are extending a formal purchase offer. AyaSilky reserves the absolute right to accept, limit, modify, or decline your offer for any reason at our sole discretion. Your payment must be fully cleared and authorized via our payment gateways before order acceptance occurs. 

ANTI-RESALE RESTRICTION: You expressly represent, warrant, and contract that all purchases executed on our platform are intended solely for personal, household, or curated individual gifting use. Purchasing items for commercial resale, digital arbitrage, unauthorized dropshipping, or international unauthorized re-exportation is strictly prohibited. We reserve the independent right to cancel any bulk or single orders exhibiting indicators of commercial proxy purchasing.

Your purchases are subject to return or exchange parameters strictly bound by the terms and legal safeguards established within our standalone Return & Refund Policy, including the conditional parameters of our "First-Pair Fit Promise". 

SECTION 4 - PRICES, EXPEDITED FEES, AND BILLING 
All posted prices, transactional promotions, and multi-pack tier discounts are subject to real-time update without notice. Unless explicitly stated at checkout, posted prices do not account for local state sales taxes, prioritized expedited shipping upgrade fees, or international customs duties, which remain the sole financial obligation of the buyer. 

You agree to provide prompt, accurate payment account modifications—including credit card numbers, expiration dates, and billing vectors—so we can securely process your transactions. You represent and warrant that: (i) all credit card and digital wallet information supplied is true and legally verified; (ii) you possess explicit authorization to deploy said card; (iii) the transaction charges will be honored by your financial institution; and (iv) you will not initiate fraudulent chargeback procedures for successfully delivered items.

SECTION 5 - SHIPPING, TITLE PASS, & PORCH PIRACY PROTECTION
AyaSilky shall not be held liable or financially responsible for delivery delays caused by external shipping networks, customs processing, severe weather matrices, or Force Majeure events. All standard and expedited delivery windows are calculated as non-guaranteed estimates in business days. 

TRANSFER OF TITLE & LOSS RISK: The moment our fulfillment center transfers the physical capsule to the designated courier network (e.g., USPS), legal title and the absolute risk of loss or destruction shifts completely to you, the consumer. 

In strict alignment with our Shipping Policy, once the official carrier tracking data indicates a package status as "Delivered" to the shipping coordinates entered during checkout, AyaSilky’s fulfillment obligations are legally terminated. We hold 0% financial or operational liability for packages compromised by residential theft, gate/lobby misplacement, or local "porch piracy" post-delivery.

SECTION 6 - INTELLECTUAL PROPERTY 
Our digital Services—including but not limited to all trademarks, brand names, unique custom text, visual displays, micro-imagery, 4K video modules, custom sensory audio, as well as the proprietary selection, grid layout, and code arrangement of the Atelier theme adaptation—are owned exclusively by AyaSilky, its affiliates, or licensors, protected under United States, Hong Kong, and international intellectual property laws. 

These Terms permit a limited, non-transferable, revocable license for personal, non-commercial use only. You are strictly prohibited from copying, reproducing, scraping, redistributing, modifying, or creating derivative works of any asset on ayasilky.com without explicit written consent from our executive board. 

SECTION 7 - OPTIONAL THIRD-PARTY TOOLS 
We may provide you with access to sophisticated optional third-party integrations, software tools, or size calculation matrixes (such as Klarna, Afterpay, or multi-variant bundle selectors) over which we exercise no structural modification or operational monitoring. You contractually acknowledge that we extend access to these tools "as is" and "as available" without endorsement. AyaSilky disclaims any liability arising from or relating to your elective deployment of third-party ecosystem tools.

SECTION 8 - THIRD-PARTY LINKS 
Certain pathways within our platform may contain direct hyper-links directing you to separate autonomous digital entities. We are not responsible for inspecting, evaluating, or validating the accuracy, compliance, or safety of any third-party frameworks. Any engagement, purchase, or transaction performed on an external web space is executed at your own independent peril.

SECTION 9 - LEGAL INDEPENDENCE FROM SHOPIFY 
AyaSilky is independently owned and operated. While our digital checkout is powered by the Shopify SaaS framework, any legal contract of sale is forged directly between you and AyaSilky. Shopify holds no structural responsibility for product quality, transit delays, or merchant behavior. You hereby unconditionally release Shopify and its corporate entities from all liabilities arising from your transactions on our platform.

SECTION 10 - DATA AND PRIVACY HARMONIZATION 
All personal data harvested during your navigation or purchase path is explicitly governed by the AyaSilky Privacy Policy and is subject to the security processing layers maintained by our SaaS host, Shopify. By interacting with the platform, you recognize that your data will cross international data networks to facilitate transactional compliance and anti-fraud verification.

SECTION 11 - CONSUMER FEEDBACK & USER-GENERATED CONTENT
If you submit custom product reviews, macro photography, unboxing video logs, or design suggestions (collectively, "Feedback") to our communication channels, you grant AyaSilky an irrevocable, perpetual, worldwide, sublicensable, royalty-free license to deploy, modify, publish, distribute, and translate your text/media for any purpose, including paid Meta/TikTok advertising materials. 

You represent that your Feedback does not infringe on any third-party copyright, identity, or privacy framework, and contains no malicious software, tracking bugs, or infected scripts that could compromise our web infrastructure.

SECTION 12 - ERRORS AND CORRECTIVE CANCELLATION
On rare occasions, our digital interface may exhibit typographical anomalies, inaccuracies, or stock data omissions relative to product descriptions, pricing, promotional multipliers, or shipping estimates. AyaSilky retains the unilateral right to correct any operational error and to cancel or adjust active orders if pricing data is determined to be fundamentally inaccurate at the moment of checking out, regardless of whether your original payment method has been authorized or charged. In such instances, a full immediate credit back to your payment method will be executed.

SECTION 13 - PROHIBITED INFRASTRUCTURE USES 
You are strictly prohibited from utilizing our digital environment or its underlying code: (a) for any malicious, fraudulent, or unlawful objective; (b) to violate domestic, state, federal, or international legal statutes; (c) to infringe upon our proprietary trademarks or the copyright frameworks of others; (d) to harvest personal data metrics of other consumers; (e) to deploy automated extraction engines, robotic scraping tools, data-mining operations, or automated AI tools (including but not limited to scraping bots, automated agentic AI data harvesters, or price-tracking crawlers); or (f) to attempt to circumvent, bypass, or crack the security authorization firewalls, anti-bot mechanisms, or CAPTCHA layers of our ecosystem. Breach of this section triggers immediate access termination and referral to federal authorities.

SECTION 14 - AUTONOMOUS AGENTS AND BOT ACCESS LAYERS
14.1 This section ("Agent Terms") governs any digital interaction executed by software entities, autonomous scripts, or robotic mechanisms (an "Agent") accessing our Services without direct, manual human typing supervision.
14.2 No Agent may crawl, interact with, or scrape any data from ayasilky.com unless it explicitly identifies its provenance and acts in flawless compliance with Section 14.4. 
14.3 We reserve the absolute right to deploy technical blockades, network firewalls, and programmatic throttling to limit or permanently terminate Agent interactions.
14.4 Agents must: (i) in all programmatic HTTP/HTTPS request headers, transparently declare its operational origin via a user-agent string structured exactly as: "Agent/[agent name]"; (ii) never obfuscate its non-human nature by mimicking human delay intervals or attempting to bypass anti-bot puzzles/CAPTCHAs; and (iii) never attempt to bypass robot exclusion headers (`robots.txt`) embedded within our root directory.

SECTION 15 - INDEMNIFICATION 
You agree to indemnify, defend, and hold harmless AyaSilky, our parent entities, directors, executives, operations managers, logistical partners, and service providers—as well as our SaaS host Shopify—from any third-party claims, legal demands, operational liabilities, damages, or financial settlements (including reasonable attorney fees) arising directly from: (1) your material breach of these Terms of Service; (2) your violation of any consumer protection law or the proprietary intellectual property rights of a third party; or (3) your personal access to the Services.

SECTION 16 - DISCLAIMER OF WARRANTIES 
ALL SERVICES AND PHYSICAL FABRIC PRODUCTS ACQUIRED VIA AYASILKY ARE PROVIDED STRICTLY ON AN 'AS IS' AND 'AS AVAILABLE' BASIS FOR YOUR CONSUMPTION, DEVOID OF ANY REPRESENTATIONS, CONDITIONS, OR WARRANTIES OF ANY KIND, WHETHER EXPRESSED OR IMPLIED. WE EXPLICITLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A SPECIFIC DOMESTIC PURPOSE, TEXTILE DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT YOUR ACCESS TO THE DIGITAL INTERFACE WILL BE UNINTERRUPTED, SECURE, OR ABSOLUTELY ERROR-FREE.

SECTION 17 - ENHANCED LIMITATION OF LIABILITY 
TO THE MAXIMUM EXTENT PERMITTED BY THE GOVERNING LAW, IN NO EVENT SHALL AYASILKY, OUR DIRECTORS, OFFICERS, LOGISTICAL PARTNERS, FABRIC MANUFACTURERS, FULFILLMENT MANAGERS, OR BANKING FACILITATORS BE HELD LIABLE FOR ANY PHYSICAL INJURY, CONSUMER LOSS, REVENUE DEFICIT, LOST PROFITS, OR INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL TEXTILE DAMAGES OF ANY VARIATION ARISING FROM YOUR WEAR, USE, HANDLING, OR HANDLING COMPLIANCE OF ANY PRODUCT PROCURED FROM OUR STORES, EVEN IF FOREWARNED OF DISASTER POSSIBILITIES.

SECTION 18 - SEVERABILITY 
If any single provision or sub-clause within these Terms of Service is rendered unlawful, invalid, void, or legally unenforceable by an authoritative judicial tribunal, such provision shall nonetheless be enforceable to the maximum boundaries permitted by law. The unenforceable segment shall be cleanly severed without undermining the legal validity and binding power of all remaining clauses.

SECTION 19 - ENTIRETY OF THE CONTRACT 
Our failure to enforce or strictly exercise any right or legal framework within these Terms does not constitute a waiver of future enforcement. These Terms of Service, combined with our published Shipping Policy and Refund Policy, constitute the absolute entire legal agreement between you and AyaSilky, completely superseding any historical written or verbal negotiations, team communications, or prior iterations.

SECTION 20 - GOVERNING LAW & JURISDICTION 
These Terms of Service and any transactional contracts whereby we deploy luxury Services to you shall be governed, interpreted, and enforced strictly in accordance with the laws of the jurisdiction where AyaSilky's corporate headquarters is legally registered. You and AyaSilky explicitly consent to the exclusive venue and personal jurisdiction of the courts located within our corporate registration territory.

SECTION 21 - CHANGES TO THE TERMS OF SERVICE 
You retain the right to audit the most updated version of our contract framework at any time on this digital page. We reserve the unilateral right to update, modify, or replace any structural block of these Terms by publishing revised protocols directly to ayasilky.com. Continued navigation or purchasing activity implies automated legal acceptance of the revised Terms.
